Overview

These Terms of Service ("Terms") govern your access to and use of the Found Her Supply platform, website, and related services (collectively, the "Platform"), operated by Found Her Supply ("Found Her Supply," "we," "our," or "us").

Found Her Supply is a curated B2B sourcing and storytelling platform that connects global buyers with vetted, women-led factories and trade companies -- beginning with handbags and leather goods, and expanding into accessories, textiles, and home goods. We are not a trading company, and we do not take possession of goods at any point in the supply chain.

By accessing or using the Platform in any capacity -- whether as a buyer, a factory or supplier partner, or a visitor -- you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

Definitions

For the purposes of these Terms, the following definitions apply:

"Platform"

The Found Her Supply website, application, supplier directory, and all associated tools, features, and services.

"Buyer"

Any individual or business entity that accesses the Platform to identify, evaluate, or engage with factory or supplier partners for the purpose of sourcing goods.

"Factory Partner" or "Supplier Partner"

A women-led factory or trade company that has applied to and been accepted onto the Platform following Found Her Supply's verification process.

"User"

Any person or entity that accesses or uses the Platform, including Buyers, Factory Partners, and general visitors.

"Content"

All text, images, data, profiles, certifications, documentation, media, and other materials made available on or through the Platform.

"Transaction"

Any commercial agreement, purchase order, sample request, or business arrangement entered into between a Buyer and a Factory Partner, facilitated through or originating from the Platform.

Eligibility

The Platform is intended for business-to-business (B2B) use only. By using the Platform, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into binding agreements.
• You are accessing the Platform on behalf of a legitimate business entity, or as an authorized representative of such an entity.
• Your use of the Platform does not violate any applicable law, regulation, or third-party agreement.
• You have not previously been suspended or removed from the Platform for a violation of these Terms.

Found Her Supply reserves the right to decline, suspend, or revoke access to the Platform at its sole discretion, including for failure to meet eligibility requirements.

Platform Services

Found Her Supply provides a curated sourcing platform and related services, which may include:

• Supplier matching and sourcing support -- connecting Buyers with Factory Partners relevant to their product categories and requirements.
• Quality control coordination -- facilitating three-round blind inspection processes in coordination with Factory Partners.
• Customization and sample development support -- assisting Buyers and Factory Partners in the development of samples and custom product specifications.
• Logistics support -- providing guidance and coordination assistance for shipping and fulfillment, where applicable.
• Founder-story media -- publishing verified profile content about Factory Partner founders to support buyer due diligence and brand storytelling.

Accounts & Access

Certain features of the Platform require you to apply for or be granted access. When creating or maintaining an account or access profile, you agree to:

• Provide accurate, current, and complete information about yourself and your business.
• Maintain and promptly update your information to keep it accurate and complete.
• Keep your login credentials secure and not share access with unauthorized third parties.
• Notify Found Her Supply promptly of any unauthorized access to or use of your account.

You are responsible for all activity that occurs under your account. Found Her Supply will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

Buyer Obligations

As a Buyer using the Platform, you agree to:

• Use the Platform solely for legitimate B2B sourcing purposes.
• Engage with Factory Partners in a professional, respectful, and good-faith manner.
• Not circumvent the Platform by soliciting or transacting with Factory Partners introduced through Found Her Supply outside of the Platform's agreed commercial framework during the term of your engagement and for a period of twelve (12) months thereafter.
• Conduct your own independent due diligence on any Factory Partner before entering into a commercial agreement.
• Comply with all applicable import, export, trade compliance, and customs laws in your jurisdiction.
• Not misrepresent your business identity, purchasing intent, or order volume to Factory Partners or to Found Her Supply.

Factory Partner Obligations

As a Factory Partner listed on the Platform, you agree to:

• Provide accurate and truthful information about your business, ownership structure, production capabilities, certifications, and credentials.
• Notify Found Her Supply promptly of any material changes to your ownership, certifications, or operational status.
• Cooperate fully with Found Her Supply's verification and quality control processes, including the three-round blind inspection standard.
• Not make false, misleading, or unsubstantiated claims about your products, production processes, or ownership credentials.
• Comply with all applicable labor, environmental, trade, and manufacturing laws and regulations in your jurisdiction.
• Honor commitments made to Buyers regarding pricing, lead times, and product specifications, to the extent agreed in writing between the parties.

Found Her Supply reserves the right to suspend or remove any Factory Partner from the Platform if, in our sole judgment, the Factory Partner has misrepresented material information or failed to meet the Platform's standards.

Fees & Payments

Found Her Supply operates on a transparent fee model. We do not insert hidden markups into transactions between Buyers and Factory Partners. Our fees may include:

• Factory listing fees charged to Factory Partners for maintaining an active profile on the Platform.
• Commission fees charged upon successful facilitation of a Transaction, as disclosed to the relevant party at the time of engagement.
• Service fees for optional add-on services such as quality control coordination, sample development support, or logistics assistance, as agreed in a separate service agreement.

Specific fee schedules, commission rates, and payment terms will be disclosed in your applicable onboarding agreement or service order. All fees are non-refundable unless otherwise expressly stated in writing.

You are responsible for all taxes, duties, and charges applicable to your use of the Platform and any Transactions you enter into through it.

Intellectual Property

All content, design, branding, software, and materials on the Platform that are created by or for Found Her Supply -- including but not limited to the Found Her Supply name, logo, platform architecture, editorial content, and verification methodology -- are the exclusive property of Found Her Supply and are protected by applicable intellectual property laws.

Factory Partners retain ownership of their own content, including founder stories, product photography, certifications, and factory profiles submitted to the Platform. By submitting content to the Platform, you grant Found Her Supply a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content for the purpose of operating and promoting the Platform, including in marketing materials, for the duration of your engagement with the Platform.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Platform content owned by Found Her Supply without prior written permission.

If you believe that content on the Platform infringes your intellectual property rights, please contact us through the link at the bottom of this page.

Confidentiality

In the course of using the Platform, you may receive or have access to non-public information about Found Her Supply, other Users, Factory Partners, or Buyers -- including but not limited to pricing, business terms, production processes, and contact information ("Confidential Information").

You agree to:

• Keep all Confidential Information strictly confidential.
• Not disclose Confidential Information to any third party without the prior written consent of the disclosing party.
• Use Confidential Information only for the purpose of engaging with the Platform and any related Transactions.

This confidentiality obligation survives the termination of your use of the Platform.

Disclaimers

Without limiting the foregoing, Found Her Supply does not warrant or represent that:

• Any Factory Partner profile, certification, or ownership claim is guaranteed to be accurate, complete, or current at all times.
• The Platform will be uninterrupted, error-free, or free from harmful components.
• Any Transaction facilitated through the Platform will result in a successful commercial outcome for any party.
• Found Her Supply's quality control coordination services guarantee any specific product outcome, delivery timeline, or production standard beyond what is expressly agreed in a written service agreement.

Buyers are solely responsible for their own due diligence, purchasing decisions, and any commercial agreements entered into with Factory Partners.

Limitation of Liability

To the maximum extent permitted by applicable law, Found Her Supply and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages -- including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute goods or services -- arising out of or in connection with your use of the Platform or any Transaction, even if Found Her Supply has been advised of the possibility of such damages.

In no event shall Found Her Supply's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the greater of:

• The total fees actually paid by you to Found Her Supply in the twelve (12) months preceding the event giving rise to the claim; or
• USD $500.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Found Her Supply's liability is limited to the greatest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Found Her Supply and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Platform or any Transaction you enter into through it.
• Your breach of these Terms or any representation or warranty made herein.
• Your violation of any applicable law, regulation, or third-party right.
• Any content you submit to or through the Platform.

Termination

Found Her Supply reserves the right to suspend or terminate your access to the Platform, with or without notice, at any time and for any reason, including but not limited to:

• Breach of these Terms.
• Provision of false, misleading, or fraudulent information.
• Conduct that Found Her Supply reasonably determines to be harmful to other Users, Factory Partners, or the integrity of the Platform.
• Non-payment of applicable fees.

You may discontinue your use of the Platform at any time. Termination does not relieve you of obligations incurred prior to termination, including payment obligations, confidentiality obligations, and the non-circumvention obligation set out in Section 6.

Sections of these Terms that by their nature should survive termination -- including Sections 9, 10, 11, 12, 13, and 15 -- shall survive any termination or expiration of these Terms.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms or your use of the Platform shall first be addressed through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within thirty (30) days of written notice, the parties agree to submit the dispute to binding arbitration administered under internationally recognized arbitration rules, unless otherwise agreed in writing between the parties.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information.

Changes to These Terms

Found Her Supply reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify active Users through the Platform or by other reasonable means.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Platform.

We encourage you to review these Terms periodically to stay informed of any changes.
